End User License Agreement
This End User License Agreement (“Agreement”) governs the use of the Fibric Toolset (“Toolset”), including its associated software, plugins, scripts, and documentation.
By purchasing, installing, activating, or using the Toolset, you agree to this Agreement. If you do not agree, you must not use the Toolset.
1. License Grant
Threadcraft S.L. (“Licensor”) grants you (“Licensee”) a limited, non-exclusive, non-transferable license to use the Toolset according to the license you purchased or were granted.
Licenses may be obtained through authorized platforms, such as Gumroad or CGLounge, or directly from the Licensor through a Custom License agreement.
2. License Types
2.1. Indie — Perpetual License
• Valid indefinitely, subject to this Agreement.
• Allows use on one machine at a time.
• Includes up to three (3) activations.
• (1) year maintenance.
2.2. Core — Annual License
• Valid for one (1) year, unless otherwise specified in the applicable license record.
• Allows use on one machine at a time.
• Includes up to two (2) activations.
• Expires at the end of the license term unless renewed.
• Reinstalling the operating system, upgrading hardware, or replacing a machine may require reactivation.
The Licensor may provide activation resets where reasonably necessary.
2.3. Custom Licenses
• The Licensor may issue special licenses for studios, organizations, evaluations, beta testing, or other agreed purposes.
• Custom Node-Locked License: Tied to one machine and subject to the conditions and expiry date specified by the Licensor.
• Custom Global (Site) License: Allows authorized users within a licensed organization to access the Toolset through an approved shared environment. User limits, deployment conditions, expiry dates, and pricing are defined in a separate written agreement.
• A standard license does not permit shared, floating, or network-based use unless expressly authorized by the Licensor.
3. Permitted Use
• You may use the Toolset for personal, commercial, and professional production projects.
• You may create, publish, and sell work produced using the Toolset. You retain the rights you hold in your own projects and outputs.
• The Toolset itself remains the property of the Licensor and may not be redistributed as a standalone product or in a way that gives unauthorized users access to it.
4. Restrictions
You may not:
• Share, sell, rent, sublicense, or transfer your license or license key without written authorization.
• Use a single standard license on multiple machines simultaneously.
• Redistribute or make the Toolset available to unauthorized users.
• Bypass, modify, or disable license activation or validation systems.
• Reverse engineer, decompile, or attempt to extract source code, except where applicable law permits.
• Use a standard license in a shared or floating license environment without authorization.
5. Activation and Verification
• Activation may require an internet connection. Once activated, the Toolset may operate offline, subject to its technical and licensing requirements.
• The Licensor may verify license validity and refuse or revoke activation if a license is invalid, expired, refunded, revoked, or used in violation of this Agreement.
• If you experience activation problems, you may contact the Licensor through the official distribution or support channel.
• Any personal data processed for license validation will be handled in accordance with the applicable Privacy Notice and data protection law.
6. Ownership
• The Toolset is licensed, not sold. All intellectual property rights in the Toolset remain with the Licensor or its respective rights holders.
• This Agreement does not transfer ownership of the Toolset to the Licensee.
7. Support and Updates
• Unless otherwise agreed in writing, the Licensor is not required to provide technical support, maintenance, updates, or upgrades.
• Nothing in this section excludes obligations that cannot legally be excluded.
8. Refund Policy
• All purchases of the Fibric Toolset are considered final and are generally non-refundable, except where a refund is required by applicable law or the applicable distribution platform's policies.
• Where permitted by law, refunds will not be provided for change of mind, accidental purchases, incompatibility with a user's workflow, or failure to review the product description and system requirements before purchasing.
• For digital content supplied immediately after purchase, any applicable right of withdrawal may be excluded only where the legal requirements for doing so have been met, including obtaining any required express consent and acknowledgment from the customer.
• Nothing in this policy limits any mandatory consumer rights, statutory withdrawal rights, or remedies for defective or non-conforming digital content that apply under applicable law.
9. Warranties and Liability
• To the maximum extent permitted by law, the Toolset is provided “AS IS” and “AS AVAILABLE,” without warranties beyond those required by applicable law.
• To the extent legally permitted, the Licensor shall not be liable for indirect or consequential losses, including loss of profits, data, or business interruption, arising from the use of or inability to use the Toolset.
• The Licensee is responsible for maintaining backups of its own project files and data.
• Nothing in this Agreement excludes or limits liability or consumer rights that cannot legally be excluded or limited.
10. Termination
• The Licensor may suspend or terminate a license if the Licensee materially breaches this Agreement, subject to applicable law and any required notice or opportunity to remedy the breach.
• Upon expiry or termination, the Licensee must stop using the Toolset as required by the applicable license terms.
• Termination does not transfer ownership of the Licensee's independently created projects or finished work to the Licensor.
11. Governing Law
• This Agreement is governed by the laws of Spain, subject to mandatory legal protections applicable to the Licensee.
• Any disputes shall be handled by the courts having jurisdiction under applicable law. Nothing in this section removes mandatory consumer rights.
12. General Terms
• This Agreement, together with the applicable license record and any separate written Custom License agreement, governs the use of the Toolset.
• If a provision is found unenforceable, the remaining provisions shall continue to apply to the extent permitted by law.
• Any changes to an existing license agreement must comply with applicable law and the terms of that agreement.
13. Contact
• For licensing questions, activation assistance, or Custom License enquiries, contact the Licensor through the official distribution channel.
